A PT PMA (Perseroan Terbatas Penanaman Modal Asing) is Indonesia's foreign-owned limited liability company structure — the only legal vehicle that allows foreign individuals or corporations to hold shares directly and operate commercially in the Indonesian market. Even a single share held by a foreign party is enough to classify a company as a PMA.

Under current regulations (BKPM Regulation No. 5 of 2025), the minimum paid-up capital for a PT PMA was reduced from IDR 10 billion to IDR 2.5 billion, making incorporation more accessible for mid-scale and startup investors. However, the total investment plan per KBLI business classification code must still exceed IDR 10 billion (excluding land and buildings) in most sectors, and this figure applies separately to each business activity code registered under the company.

The registration process runs through Indonesia's Online Single Submission Risk-Based Approach (OSS-RBA) system. In broad terms, the steps are: reserving a company name via AHU Online, drafting the deed of establishment before a notary, obtaining legal entity approval from the Ministry of Law and Human Rights, registering for a corporate tax number (NPWP), and finally submitting company data through OSS-RBA to receive a Business Identification Number (NIB).

A registered business address is required at multiple stages of this process — from the notarial deed to the OSS-RBA submission. For founders who are not yet ready to commit to a physical office lease, a properly licensed virtual office address in a recognized business district can serve as a compliant registered address, provided the building's zoning and the provider's operating permits are valid.
